Job Description
Manager - Corporate Governance (Funds & SPVs)
This role will lead delivery of corporate secretarial and governance services for a portfolio of complex Luxembourg structures, act as a primary senior client contact, and supervise a small team of corporate officers. The role sits within the Corporate Services team (Tax department) and reports to the Corporate Services Director / Head of Corporate Services.
What you will be working on
- Lead end-to-end corporate secretarial services for a portfolio of Luxembourg entities, including AIF structures (RAIF, SIF, SICAR), SPVs and complex cross-border investment platforms.
- Support fund lifecycle events including incorporation, structuring, capital calls, distributions, and liquidation processes.
- Review fund documentation (PPM, LPA, prospectuses) with critical analysis of legal, regulatory and governance implications.
- Ensure compliance with AIFM Directive requirements and Luxembourg regulatory framework under supervision of the Commission de Surveillance du Secteur Financier.
- Coordinate with AIFM, depositary, auditors and administrators on regulatory reporting (e.g. Annex IV), board governance and operational oversight.
- Act as senior client relationship owner: build trust, anticipate client needs, and provide pragmatic advice on fund governance and regulatory compliance.
- Supervise and mentor junior staff; review corporate documentation including fund board packs, resolutions and investor-related documentation.
- Ensure compliance with Luxembourg company law, fund regulations, AML/KYC and internal policies.
- Coordinate multi-disciplinary workstreams (tax, accounting, legal, audit, banking) and manage interactions with notaries, auditors, banks, regulators and external advisors.
- Drive process improvements, standardisation and automation initiatives across fund governance and corporate services.
- Support business development including AIF onboarding, structuring analysis and client pitches.
- Ensure timely and accurate filings, corporate record keeping and adherence to fund governance best practices.
What we look for
- Master’s degree in Law, Business Law or equivalent
- Minimum 5 years’ relevant experience in corporate services (provider or in-house), with demonstrable exposure to Luxembourg fund structures and SPVs
- Good understanding of Luxembourg fund industry including key actors (AIFM, depositary, administrators) and applicable legal and regulatory frameworks
- Working knowledge of AIFM Directive and Luxembourg fund regimes (e.g. RAIF, SIF, SICAR)
- Strong knowledge of Luxembourg company law, commercial registers and statutory requirements
- Familiarity with regulatory expectations of the Commission de Surveillance du Secteur Financier
- Fluent in English. Any other language would be considered as an asset.
- Proven people management or team lead experience and prior experience in client-facing senior advisory roles.
- Leadership and people development: ability to mentor, review work and foster a high-quality team culture.
- Client orientation: proactive, commercial and solution-focused approach.
- Technical rigor: excellent attention to detail and robust documentation/review standards.
- Communication: clear, confident written and verbal skills for internal and external stakeholders.
- Project management: able to prioritise complex tasks, meet deadlines and manage multiple clients.
- IT literacy: strong MS Office skills; familiarity with document management systems and automation tools is an advantage.
- Integrity and discretion in handling confidential and sensitive information.
